Welcome to the BESIGN UNIQUE BESIGN UNIQUE Platform/ Mobile Application at https://www.BESIGN UNIQUE Platform. Being a user of the BESIGN UNIQUE BESIGN UNIQUE Platform/ Mobile Application, you agree to accept and be bound by these terms by accessing the BESIGN UNIQUE Platform and/or placing an order to purchase furniture/modular kitchen/ modular wardrobe/home décor/home furnishing products. Please read these terms and conditions carefully before placing an order on the BESIGN UNIQUE Platform/ Mobile Application. If you do not agree with them, kindly do not continue to use the BESIGN UNIQUE Platform/ Mobile Application. Regardless of whether you choose to register with us or place an order with us, you confirm your acceptance of these terms and condition upon use of the BESIGN UNIQUE Platform.

The terms and conditions as set out herein (“Terms”) constitute an agreement between SURENSPACE, a Proprietorship Firm incorporated and registered at Jodhpur, Rajasthan under the The Rajasthan Shops and Commercial Establishments Act, 1958, having its registered address at Block no 12 , Khasra no. 247, Agro Food Park, salawas road, Jodhpur, Rajasthan, 342013, India (“SURENSPACE”, “we”, “us” or “our”), which operates the BESIGN UNIQUE Platform (defined below) and a natural or legal person who accesses and/or uses BESIGN UNIQUE Platform in any manner (“you” or “your”) or uses any current or future service or functionality or offer made available on BESIGN UNIQUE Platform (“Service(s)”), as updated from time to time. For the purpose of these terms of use, wherever the context so require “you”/“your” shall mean any natural or legal person who uses the BESIGN UNIQUE Platform or has agreed to become a member of the BESIGN UNIQUE Platform by providing registration data while registering on the BESIGN UNIQUE Platform as registered user using the computer systems of BESIGN UNIQUE Platform.

By using the BESIGN UNIQUE Platform, you expressly agree to be bound by the Terms. If you do not agree with any of the Terms, please do not use the BESIGN UNIQUE Platform. Please note that your access to the Services, other platforms or utilization of Products (defined below), offers or promotions in relation to the Products as may be provided by us or our affiliates, may be governed by other terms and conditions, policies or guidelines (“Additional Terms”) along with these Terms. If these Terms are inconsistent with any Additional Terms, the Additional Terms will control to the extent of such inconsistency with respect to the applicable Service or utilization of the Product. These Terms govern your use of the BESIGN UNIQUE Platform and transaction or dealings thereon.

For the purposes of these Terms: (a) “BESIGN UNIQUE Platform” means the www.besignunique.com Platform which include its corresponding mobile application/BESIGN UNIQUE Platform/tablet/desktop or any other digital mode and/or operating system as provided by us, on which you may avail the Services and includes applications controlled and managed by us which interact with one or more such mobile applications/ BESIGN UNIQUE Platforms/ tablets and digital modes as provided by us; (b) “Products” shall mean furniture modular kitchen/ modular wardrobe/home décor/home furnishing products and other products offered for sale to you on the BESIGN UNIQUE Platform and (c) We and you are hereinafter individually referred to as “Party” and collectively as “Parties”.

You can access most of the pages of the BESIGN UNIQUE Platform without registering with us. Certain areas of the BESIGN UNIQUE Platforms are only open to you, if you have registered yourself with us. This document shall constitute an “electronic record” under the provisions of the Information Technology Act-2000 and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act- 2000. This electronic record is generated by a computer system and does not require any physical or digital signature.

PLEASE READ THE TERMS CAREFULLY BEFORE USING OR ACCESSING ANY MATERIAL, INFORMATION OR SERVICES THROUGH THE BESIGN UNIQUE PLATFORM. YOUR USE OF THE PLATFORM OR THE SERVICES PROVIDED BY THE PLATFORM SHALL SIGNIFY YOUR ACCEPTANCE OF THE TERMS AND YOUR AGREEMENT TO BE LEGALLY BOUND BY THE SAME.

These Terms are divided into 2 (two) parts. Please carefully read all the parts to understand the conditions applicable in case of usage of the BESIGN UNIQUE Platform and for purchase of Products thereof.

Part- I TERMS AND CONDITIONS FOR USAGE OF BESIGN UNIQUE PLATFORM

General Terms and conditions:

The BESIGN UNIQUE PLATFORM is an Internet based portal owned and operated by SUREN SPACE. We offer you use of the BESIGN UNIQUE PLATFORM subject to acceptance of all the terms, conditions and notices contained in the Terms, along with all/any amendments made by SUREN SPACE at its sole discretion and posted on the BESIGN UNIQUE PLATFORM, including by way of imposing any charge for access to or use of a service (defined below). By using this BESIGN UNIQUE PLATFORM/any facility/service provided through this BESIGN UNIQUE PLATFORM in any way; or merely browsing the BESIGN UNIQUE PLATFORM, you agree that you have read, understood and agreed to be bound by these terms and the privacy policy available at the homepage of https://www.BESIGN UNIQUE Platform and Platform. We shall not be required to notify you of any changes made to the terms. The revised terms shall be made available on the BESIGN UNIQUE platform, in case of any changes made thereto. Your use of the BESIGN UNIQUE platform is subject to the most current version of the terms of use made available on the BESIGN UNIQUE platform at the time of such use. You are requested to regularly visit the pages of the BESIGN UNIQUE platform to view the most current terms. You can determine when we last modified the terms by referring to the "Last Updated" legend above. The prevailing terms will only be applicable for any transaction made on BESIGN UNIQUE Platform. We may require you to provide your consent to the updated terms in a specified manner before any further use of the BESIGN UNIQUE Platform and the services. If no such separate consent is sought, your continued use of the BESIGN UNIQUE Platform will constitute your acceptance of such changes.

General:

The terms and conditions for usage of the BESIGN UNIQUE Platform, as set out herein (“Terms of Use”) specifically govern your access and use of the BESIGN UNIQUE Platform, which provides a forum for you to inter alia enable you to discover, select and buy Products listed on BESIGN UNIQUE Platform at the indicated price at any time, from the locations serviceable by us.

  1. Please note that we may from time to time change the Terms of Use that govern your use of the BESIGN UNIQUE Platform. Every time you wish to use our BESIGN UNIQUE Platform, please check these Terms of Use to ensure you understand the terms and conditions that apply at that time. Further, please note that we reserve the right to either change the format and the content of the BESIGN UNIQUE Platform or suspend the operation of the BESIGN UNIQUE Platform for support or maintenance work, in order to update the content or for any other reason, at any time.
  2. Any accessing, browsing, or otherwise indicates your agreement to these Terms of Use, the privacy policy of the BESIGN UNIQUE Platform and any other policies or guidelines that may be applicable on the BESIGN UNIQUE Platform at the time of your access and usage of the BESIGN UNIQUE Platform and which may be updated from time to time (collectively, the “Agreement”).
  3. This document is an electronic record in terms of the Information Technology Act, 2000 and rules made thereunder as may be applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
  4. We authorize you to view and access the BESIGN UNIQUE Platform solely for identifying Products, carrying out purchases of Products and processing returns and refunds, in accordance with Return and Refund Policy, therefore, grant you a limited, revocable permission to access and use the Services

Eligibility to use the BESIGN UNIQUE Platform

Use of the BSIGN UNIQUE PLATFORM is available only to persons who can form legally binding contracts under Indian Contract Act, 1872. Persons who are "incompetent to contract" within the meaning of the Indian Contract Act, 1872 including minors, un-discharged insolvents etc. are not eligible to use the BESIGNUNIQUE Platform. If you are a minor i.e. under the age of 18 years, you shall not register as a user of BESIGNUNIQUE Platform and shall not transact or use BESIGNUNIQUE Platform. As a minor if you wish to use or transact on BESIGNUNIQUE Platform, such use or transaction may be made by your legal guardian or parents who have registered as users of the BESIGNUNIQUE Platform. We will not be liable for under any circumstance if the user is under the age of 18 and reserves the right to terminate your usage right and refuse to provide you with access to the BESIGNUNIQUE Platform if it is brought to Our notice or if it is discovered that you are under the age of 18 years. BESIGNUNIQUE Platform services are not available to minors (under 18 years of age). If you do not conform to the above qualification, you are not permitted to avail the Services. You represent that you are of legal age to form a binding contract and are not a person barred from receiving services under the laws as applicable in India.

We reserves the right to refuse access to use the services offered at the BESIGNUNIQUE Platform to new users or to terminate access granted to existing users at any time for any reason or without providing any reasons whatsoever.

Your account user account, password, security and registration obligation

REGISTRATION OF YOUR ACCOUNT

  1. In order to purchase Products on the BESIGN UNIQUE Platform and/or avail the Services, you may choose to register on the BESIGN UNIQUE Platform or checkout as a guest. Registration is a one-time process. You will be eligible to further access and avail the Services upon receipt of a confirmation e-mail from us after filling in the necessary forms and after providing the necessary details as may be required by us at the time of your registration.
  2. You are solely authorized to operate the account created by you. Consequently, it is your responsibility to maintain the confidentiality of the log in credentials of your account on the BESIGN UNIQUE Platform and for restricting access to your computer/mobile/other similar devices to prevent unauthorized access to your account. You shall remain solely liable for all the actions undertaken through your account.
  3. You will: (a) immediately inform us of any unauthorized use of the account or any other security breach; and (b) ensure that you log out of your account at the end of each session. We, our employees, agents, directors and officers will not be liable for any loss or direct or indirect damage arising from your failure to comply with these Terms of Use. You may be held liable for any losses incurred to us or any other user due to unauthorized use of their account by you. We reserve the right to refuse access to the BESIGN UNIQUE Platform, terminate accounts, remove or edit content at any time without notice to you.

 

If you use BESIGN UNIQUE Platform, you shall be responsible for maintaining the confidentiality of your user id and password and you shall be responsible for all activities that occur under your user id and password. You agree that if you provide any information that is untrue, inaccurate, not current or incomplete or SURENSPACE has reasonable grounds to suspect that such information is untrue, inaccurate, not current or incomplete, or not in accordance with this terms of use, SUREN SPACE has the right to indefinitely suspend or terminate or block access of your membership with BESIGN UNIQUE Platform and refuse to provide you with access to the BESIGN UNIQUE Platform or its counterparts. SURENSPACE may make the services available to you only if you have provided us certain required user information and/or created an account ("hereafter referred as account") through BESIGN UNIQUE Platform. The user ID and password or other log-in ID and password (collectively, referred as "account information") shall keep confidential by you to avoid any misuse by third party on the said BESIGN UNIQUE Platform. The services may also be subject to procedures for use of the BESIGN UNIQUE Platform, terms of offer for sale, uploaded guide, rules, additional terms of service, or other disclaimer & notices, if any ("referred as additional terms"). If there is any conflict between the terms of use and the additional terms, the additional terms shall take precedence in relation to that service. You agree to immediately notify us of any unauthorized use of your account Information or any other breach of security and ensure that you exit from your account at the end of each session. BESIGN UNIQUE Platform cannot and will not be liable for any loss or damage arising from your failure to comply with these conditions. You may be held liable for losses incurred by BESIGN UNIQUE Platform or any other user of or visitor to the BESIGN UNIQUE Platform due to authorized or unauthorized use of your account as a result of your failure in keeping your account Information secure and confidential. You will ensure that the account Information provided by you in the BESIGN UNIQUE Platform registration form is complete, accurate and up-to-date. Use of another user's account information for availing the services is prohibited. If you provide any information which is not true, inaccurate, not current or incomplete (or becomes not true, inaccurate, not current or incomplete), or BESIGN UNIQUE Platform has reasonable grounds to suspect that such information is not true, inaccurate, not current or incomplete, we have right to suspend/terminate your account and refuse any/and all current or future use of the BESIGN UNIQUE Platform or any portion thereof.

USER OBLIGATIONS

We will do our utmost to ensure that accessibility of the site will be uninterrupted and that transmissions will be error-free. However, due to the nature of the internet, this cannot be guaranteed. Also, your access to the site may also be occasionally suspended or restricted to allow for repairs, maintenance, or the introduction of new facilities or services at any time without prior notice. We will attempt to limit the frequency and duration of any such suspension or restriction. Subject to compliance with the terms of use, BESIGN UNIQUE Platform grants you a non-exclusive, limited privilege to access and use this BESIGN UNIQUE Platform. You agree to use the services, BESIGN UNIQUE Platform and materials provided therein only for purposes that are permitted by: the terms; and any applicable law, regulation or generally accepted practices or guide in the relevant jurisdictions. You agree to adhere to all limitations on dissemination, use and reproduction of any materials (such as the product catalogues) that you will access the BESIGN UNIQUE Platform in accordance with the terms. You agree not to access (or attempt to access) the BESIGN UNIQUE Platform and materials/services by any means other than through the interface that is provided by BESIGN UNIQUE Platform. You will not use any deep-link, robot, spider or other automatic device/ program/algorithm/methodology, or any similar/equivalent manual process to access/acquire/copy/monitor any portion of the BESIGN UNIQUE Platform or content, or in any way reproduce/circumvent the navigational structure/presentation of the BESIGN UNIQUE Platform/ materials/any Content to obtain or attempt to obtain any materials, documents or information through any means not specifically made available through the BESIGN UNIQUE Platform. By accessing or using the BESIGN UNIQUE Platform/services, you may be exposed to content from other users that you may consider offensive, indecent or otherwise objectionable. BESIGN UNIQUE Platform disclaims all liabilities arising in relation to such offensive content on the BESIGN UNIQUE Platform. If BESIGN UNIQUE Platform allows you to post and upload any material on the BESIGN UNIQUE Platform, you hereby undertake to ensure that such material is not offensive and is in accordance with applicable laws. Further, you undertake not to:

  • Defame, abuse, harass, threaten or otherwise violate the legal rights of others;
  • Impersonate any person or entity, or falsely state or otherwise misrepresent Your affiliation with a person or entity;
  • Publish, post, upload, distribute or disseminate any inappropriate, profane, defamatory, infringing, obscene, indecent or unlawful topic, name, material or information through any bookmark, tag or keyword;
  • Upload files that contain software or other material protected by applicable intellectual property laws unless You own or control the rights thereto or have received all necessary consents;
  • Upload/distribute files that contain viruses/corrupted files or any other similar software or programs that may damage the operation of the BESIGN UNIQUE Platform or another's computer;
  • Engage in any activity that interferes with or disrupts access to the BESIGN UNIQUE Platform or the services (or the servers and networks which are connected to the BESIGN UNIQUE Platform);
  • Attempt to gain unauthorized access to any portion or feature of the BESIGN UNIQUE Platform, any other systems or networks connected to the BESIGN UNIQUE Platform, to any BESIGN UNIQUE Platform server, or to any of the services offered on or through the BESIGN UNIQUE Platform, by any illegitimate means (including such as hacking and password mining);
  • Probe, scan or test the vulnerability of the BESIGN UNIQUE Platform/any network connected to neither BESIGN UNIQUE Platform, nor breach the security or authentication measures on the BESIGN UNIQUE Platform or any network connected to the BESIGN UNIQUE Platform. You may not reverse look-up, trace or seek to trace any information on any other user of or visitor to the BESIGN UNIQUE Platform/any other customer of BESIGN UNIQUE Platform, including any BESIGN UNIQUE Platform account not owned by you, to its source, or exploit the BESIGN UNIQUE Platform/service/information made available/offered by/ through BESIGN UNIQUE Platform, in any way whether or not the purpose is to reveal any information, including but not limited to personal identification information;
  • Disrupt or interfere with the security of, or otherwise cause harm to the BESIGN UNIQUE Platform, systems resources, accounts, passwords, servers or networks connected to or accessible through the BESIGN UNIQUE Platforms or any affiliated or linked sites;
  • Collect or store data about other users.
  • Use any device or software to interfere or attempt to interfere with the proper working of the BESIGN UNIQUE Platform or any transaction being conducted on the BESIGN UNIQUE Platform or with any other person's use of the BESIGN UNIQUE Platform;
  • Use the BESIGN UNIQUE Platform/any material/content for any purpose that is unlawful or prohibited by the terms, or to solicit the performance of any illegal activity or other activity  which infringes the rights of BESIGN UNIQUE Platform or other third parties;
  • Conduct or forward surveys, contests, pyramid schemes or chain letters;
  • Download any file posted by another user of a service that you know, or reasonably should know, cannot be legally distributed in such manner;
  • Falsify or delete any author attributions, legal or other proper notices or proprietary designations or labels of the origin or source of software or other material contained in a file that is uploaded;
  • Violate any code of conduct or other guide, which may be applicable to the service;
  • Violate any applicable laws or regulations for the time being in force within/ outside India;
  • Violate the terms including but not limited to any applicable additional terms; and
  • Reverse engineer, modify copy, distribute, transmit, display, perform, reproduce, publish, license, create derivative works from, transfer, or sell any information or software obtained from the BESIGN UNIQUE Platform.

You agree that you are solely responsible to BESIGN UNIQUE Platform and to any third party for any breach of your obligations under the terms and for the consequences (including any loss or damage which BESIGN UNIQUE Platform or its affiliates or its vendors may suffer) for any such breach.

 

DISCLAIMER OF WARRANTIES, INACCURACIES OR ERRORS

A            We will try to ensure that all information and recommendations, whether in relation to the Products, Services, offerings or otherwise (hereinafter “Information”) provided as part of this BESIGN UNIQUE Platform is correct at the time of inclusion on the BESIGN UNIQUE Platform. We do not guarantee the accuracy of the Information. We make no representations or warranties as to the completeness or accuracy of Information.

B            You agree that Information is being supplied to you on the condition that you will make your own determination as to the suitability of such information for your purpose prior to use or in connection with the making of any decision. F            THIS BESIGN UNIQUE PLATFORM AND THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS” AND “WHERE-IS” BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES. WE, FOR OURSELVES AND ANY THIRD-PARTY PROVIDING MATERIALS, SERVICES, OR CONTENT TO THIS BESIGN UNIQUE PLATFORM, MAKE NO REPRESENTATIONS OR WARRANTIES, EITHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NONINFRINGEMENT OF THIRD-PARTY RIGHTS, WITH RESPECT TO THE BESIGN UNIQUE PLATFORM, THE INFORMATION OR ANY PRODUCTS OR SERVICES TO WHICH THE INFORMATION REFERS. WE WILL NOT BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, ARISING FROM OR CONNECTED WITH THE SITE, INCLUDING BUT NOT LIMITED TO, YOUR USE OF THIS SITE OR YOUR INABILITY TO USE THE SITE, EVEN IF WE HAVE PREVIOUSLY BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

COMMUNICATION AND UNSUBSCRIPTION

3.1       By accepting the Terms of Use, you also accept to receive news, updates, offers/ campaign related SMS, to the mobile phone number provided by you. By accessing and using the BESIGN UNIQUE Platform and/ or verifying your contact number with us, you explicitly consent to receive such communications (through call, SMS, email or other digital and electronic means) from us and/or our authorized representatives regarding any new services or offerings, even if your contact number is registered under the DND/NCPR list under the Telecom Commercial Communications Customer Preference Regulations, 2018.

3.2       You can unsubscribe/ opt-out from receiving marketing/ promotional communications, newsletters and other notifications from us at any time by following the instructions set out in such communications.

When you use the BESIGN UNIQUE Platform or send emails or other data, information or communication to BESIGN UNIQUE Platform https://www.besignunique.com or its counterparts you agree and understand that you are communicating with SUREN SPACE through electronic records and you consent to receive communications via electronic records from BESIGN UNIQUE Platform periodically and as and when required. BESIGN UNIQUE Platform may communicate with you by email or by such other mode of communication, electronic or otherwise. You will be required to provide a valid phone number while placing an order with us. We may communicate with you by e-mail, SMS, phone call or by any other mode of communication. For contractual purposes, you consent to receive communications including SMS, e-mail or phone calls from us with respect to your order and delivery status.

SUREN SPACE reserves the right, but has no obligation, to monitor the materials posted on BESIGN UNIQUE Platform. SUREN SPACE shall have the right to remove or edit any content that in its sole discretion violates, or is alleged to violate, any applicable law or either the spirit or letter of these terms of use. Notwithstanding this right of BESIGN UNIQUE Platform you remain solely responsible for the content of the materials you post on the BESIGN UNIQUE Platform BESIGN UNIQUE Platform and in your private messages. Please be advised that such content posted does not necessarily reflect the views of BESIGN UNIQUE Platform. In no event shall BESIGN UNIQUE Platform assume or have any responsibility or liability for any content posted or for any claims, damages or losses resulting from use of content and/or appearance of content on BESIGN UNIQUE Platform. You hereby represent and warrant that you have all necessary rights in and to all content you provide and all information it contains and that such content shall not infringe any proprietary or other rights of third parties or contain any libelous, tortuous, or otherwise unlawful information.

It is possible that other user (including unauthorized users or “hackers”) may post or transmit offensive or obscene materials on BESIGN UNIQUE Platform and that you may be involuntarily exposed to such offensive and obscene materials. It is also possible for others to obtain personal information about you due to your use of BESIGN UNIQUE Platform, and that the recipient may use such information to harass or injure you. SUREN SPACE does not approve of such unauthorized uses but by using the BESIGN UNIQUE Platform you acknowledge and agree that BESIGN UNIQUE Platform is not responsible for the use of any personal information that you publicly disclose or share with others on BESIGN UNIQUE Platform. Please carefully select the type of information that you publicly disclose or share with others on BESIGN UNIQUE Platform.

SUREN SPACE shall have all the rights to take necessary action and claim damages that may occur due to your involvement/participation in any way on your own or through group/s of people, intentionally or unintentionally in denial of services/distributed denial of services.

 

AVAILIBILITY AND ACCESIBILITY OF BESIGN UNIQUE PLATFORM

  1.   1. We constantly monitor the user’s account in order to avoid fraudulent accounts and transactions. Users with more than one account or availing referral vouchers fraudulently shall be liable for legal actions under law and we reserve the right to recover the cost of goods, collection charges and lawyer fees from persons using the BESIGN UNIQUE Platform fraudulently. We reserve the right to initiate legal proceedings against such persons for fraudulent use of the BESIGN UNIQUE Platform and any other unlawful acts or omissions in breach of these terms and conditions. In the event of detection of any fraudulent or declined transaction, prior to initiation of legal actions, we reserve the right to immediately delete such account and dishonor all past and pending orders without any liability. For the purpose of this clause, we shall owe no liability for any refunds.

 

THIRD PARTY INTERACTION AND LINKS TO THIRD PARTY SITES

In your use of the BESIGN UNIQUE Platform, you may enter into correspondence with, purchase goods and/or services from, or participate in promotions of advertisers or members or sponsors of BESIGN UNIQUE Platform or access any other third-party BESIGN UNIQUE Platform linked to the BESIGN UNIQUE Platform. Unless otherwise stated, any such correspondence, advertisement, purchase or promotion, including the delivery of and the payment for goods and/or services, and any other term, condition, warranty or representation associated with such correspondence, purchase or promotion, is solely between you and the applicable third party. You agree that we have no liability, obligation or responsibility for any such correspondence, purchase or promotion, access or usage of any third-party BESIGN UNIQUE Platform and the contract under such instances remains between you and any such third party.

You acknowledge and agree that the materials on the Platform, other than the User Content that you licensed to the SUREN SPACE, including without limitation, the text, software, scripts, graphics, photos, sounds, music, videos, interactive features and the like ("Materials") and the trademarks, service marks and logos contained therein ("Marks"), are owned by or licensed to SUREN SPACE or its Affiliates, and are subject to copyright and other intellectual property rights under Indian laws, foreign laws and international treaties and/or conventions. In connection with the Services, the Platform may display certain trademarks belonging to third parties. Use of these trademarks may be subject to the license granted by third parties to SUREN SPACE or its Affiliates. You shall, in no event, reverse engineer, decompile, or disassemble such trademarks and nothing herein shall be construed to grant you any right in relation to such trademarks. Materials on the Platform are provided to you AS IS for your information and personal use only and may not be used, copied, reproduced, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. SUREN SPACE or its Affiliates reserves all rights not expressly granted herein to the Platform and the Materials. You agree to not engage in the use, copying, or distribution of any of the Materials other than as expressly permitted herein, including any use, copying, or distribution of Materials of third parties obtained through the Platform for any commercial purposes. If you download or print a copy of the Materials for personal use, you must retain all copyright and other proprietary notices contained therein. You agree not to circumvent, disable or otherwise interfere with security-related features of the Platform or features that prevent or restrict the use or copying of any Materials or enforce limitations on the use of the Platform or the Materials therein. The Service is protected to the maximum extent permitted by copyright laws, other laws, and international treaties and/or conventions. The content displayed on or through the Service is protected by copyright as a collective work and/or compilation, pursuant to copyrights laws, other laws, and international conventions. In case you are an owner of an Intellectual Property and want to specifically report about any counterfeit goods on our Platform please refer to our SUREN SPACE or its Affiliates.

LICENSE AND USE OF YOUR CONTENT

You grant to us a royalty-free, perpetual, irrevocable, non-exclusive right and license to adopt, publish, reproduce, disseminate, transmit, distribute, copy, use, create derivative works from, display worldwide, or act on any material posted by you on the platform without additional approval or consideration in any form, media, or technology now known or later developed, for the full term of any rights that may exist in such content, and you waive any claim over all feedback, comments, ideas or suggestions or any other content provided through or on the BESIGN UNIQUE Platform. You agree to perform all further acts necessary to perfect any of the above rights granted by you to us, including the execution of deeds and documents, at its request.
  2. You agree that we do not routinely monitor your postings on the BESIGN UNIQUE Platform but reserve the right to do so. However, if we become aware of inappropriate use of BESIGN UNIQUE Platform or any of its Services, we will respond in any way that, in its sole discretion, we deem appropriate. You acknowledge that we will have the right to report to law enforcement authorities of any actions that may be considered illegal, as well as any information it receives of such illegal conduct. When requested, we will co-operate fully with law enforcement agencies in any investigation of alleged illegal activity on the internet.

Submissions and unauthorised use of any materials contained on the BESIGN UNIQUE Platform may violate copyright laws, trademark laws, the laws of privacy and publicity, certain communications statutes and regulations and other applicable laws and regulations. You alone are responsible for your actions or the actions of any person using your username and/or password. As such, you shall indemnify and hold us and our officers, directors, employees, affiliates, agents, licensors, and business partners harmless from and against any and all loss, costs, damages, liabilities, and expenses (including attorneys' fees) incurred in relation to, arising from, or for the purpose of avoiding, any claim or demand from a third party that your use of the platform or the use of the platform by any person using your user name and/or password (including without limitation your participation in the posting areas or your Submissions) violates any applicable law or regulation, or the rights of any third party.
  4. We reserve the right to terminate access to this platform at any time and without notice. Further this limited license terminates automatically, without notice to you, if you breach any of these Terms of Use. Upon termination, you must immediately destroy any downloaded and printed materials. Any provision of the Terms of Use which imposes an obligation or creates a right that by its nature will be valid after termination or expiration of the Terms of Use shall survive the termination or expiration of the Terms of Use.

 

PRICING AND PAYMENT INFORMATION

SUREN SPACE strives to make available products and services at the best possible prices. The price details for product purchase/services are detailed under “terms of offer for sale”.

Product Prices described on our BESIGN UNIQUE Platform are incorporated into these Terms by reference. All prices are in Indian rupees and are inclusive of local and/or central taxes and levies and taxes. Prices, products and Services may change at BESIGN UNIQUE Platform’s sole discretion without notice.

You agree to provide correct and accurate credit/debit card details to the approved payment gateway for availing services. You’ll not use credit / debit card which is not lawfully owned by you, i.e. in any transaction, you must use your own credit / debit card. In case of fraudulent card transaction, you are solely responsible to indemnify SUREN SPACE for all purpose, cost and consequences arisen thereto in future.

The information provided by you, will not be utilized/shared with any third party unless required in relation to fraud verifications or by law, regulation or court order. You will be solely responsible for the security and confidentiality of your credit / debit card details. BESIGN UNIQUE Platform clearly disclaims all liabilities that may arise as a consequence of any unauthorized use of your credit/debit card.

BESIGN UNIQUE Platform shall be under no liability whatsoever in respect of any loss/damage arising directly or indirectly out of the fake authorization for any transaction for any reason whatsoever.

While availing any of the payment method/s offered at BESIGN UNIQUE Platform, BESIGN UNIQUE Platform will not be responsible or assume any liability, whatsoever in respect of any loss or damage arising directly or indirectly to you due to:

  1. Lack of authorization for any transaction/s, and/or
  2. Exceeding the preset limit mutually agreed by you and between your "bank/s", and/or
  3. Any payment issues arising out of the transaction, and/or
  4. Decline of transaction for any other reason/s.

All payments made against the purchases/services on BESIGN UNIQUE Platform by you shall be compulsorily in Indian rupees. BESIGN UNIQUE Platform does not accept any other form of currency with respect to the purchases made on BESIGN UNIQUE Platform.

PRICING/TYPOGRAPHICAL ERROR

If SUREN SPACE comes across any difference in pricing resulting from typographic errors with regards to pricing or product information, SUREN SPACE shall have the right to rectify the same or cancel the order(s) and refund your money, if any, collected from the customer within 10-15 business days of such corrective action taken. The mode of refund will remain same through which the payment was received by SUREN SPACE.

RISK OF LOSS

All items purchased from BESIGN UNIQUE Platform are made pursuant to a shipment contract. This means that the risk of loss and title for such items pass to you upon our delivery to the carrier.

EXACTNESS NOT GUARANTEED

BESIGN UNIQUE Platform hereby disclaims any guarantees of exactness as to the finish and appearance of the final Product as ordered by the user. The quality of any products/services/ information/other material purchased/obtained by you through BESIGN UNIQUE Platform may not meet your expectations.

Alterations to certain aspects of your order such as the merchandise brand, size, colour etc. may be required due to limitations caused by availability of product difference in size charts of respective brands etc. In this instance you agree that a representative from BESIGN UNIQUE Platform will call you/send an approval request through email address that you submitted while placing your order.

CANCELLATION OF ORDER

BESIGN UNIQUE Platform reserves the right to cancel any order without any explanation for doing so, under situation where in BESIGN UNIQUE Platform not able to meet the requirement of the order placed or order so placed/cancelled does not comply with BESIGN UNIQUE Platform policy or for any other reason. However BESIGN UNIQUE Platform will ensure that any communication of cancellation of an order, so cancelled, is intimated within appropriate time to the concerned person and any applicable refund will be made in reasonable time.

LIMITATION OF LIABILITY

In no event shall BESIGN UNIQUE Platform be liable for any special, incidental, indirect or consequential damages of any kind in connection with this agreement, even if BESIGN UNIQUE Platform has been informed in advance of the possibility of such damages.

DELIVERY

SUREN SPACE will make a maximum of three attempts to deliver your order. In case the customer is not reachable/does not accept delivery of products in these attempts BESIGN UNIQUE Platform reserves right to cancel the order(s) at its sole discretion.

An estimated delivery time is displayed on the order summary page. On placing your order, you will receive an email containing a summary of the order and also the estimated delivery time to your location.

Sometimes, delivery may take longer due to

  1. Bad weather, fire, earthquake, flood, natural calamities/disasters
  2. flight delays
  3. political disruptions
  4. other unforeseen circumstances by our business partners

In such cases, we will proactively inform the tentative delivery to you. Please check your emails and SMS regularly for such updates.

Also, we will not be able to compensate for any mental agony and/or consequential losses caused due to delay in delivery. The customer can cancel the order at any moment before shipment of goods from our warehouse. If it is a prepaid order, the customer will be refunded back in the account as soon as the order is successfully cancelled.

ONLINE RETURN & CANCELLATION POLICY

At SUREN SPACE, we offer high quality products at affordable prices. In rare cases, a customer may want to cancel the order; the request for the same shall be guided by RETURN & CANCELLATION POLICY as detailed below.

Return Request:

  1. Return request can be accepted only in case where there is a material defect / damage found in the product.
  2. For any external damages to the packed product, you are required to document the same on the delivery acknowledgment at the time of delivery.
  3. For upholstery / fragile items (Sofa, Glass, and Mirrors etc.) please take Open Delivery and verify the same is damage free before accepting the delivery and return immediately if found damaged.
  4. For other furniture that requires installation, the packing must be opened only by authorized service personal at the time of installation. If any damage / defect found the same needs to be documented on the Installation Job Card for processing return and fresh replacement within ____ days
  5. Credit Note / Refund can be provided by SUREN SPACE if replacement is not in stock. The same will be processed within 7 working days after pick up of original item. Payment made through Credit / Debit cards will be reversed to the same card, Net banking payment will be reversed to the same bank account and Vouchers used for payment will result in issue of fresh vouchers.

Cancellation Request:

  1. In case of cancellation within 24 hours of placing the order, a full refund will be initiated.

PRODUCT RETURN PROCESS

Limitation on refund amount for courier charges

Please do collect the Docket slip/Written confirmation from the Courier company that the product return has been done for a particular shipment/order.

Docket slip to be produced in case of discrepancy between customer and logistics company

In case of any discrepancy in the status of reverse pick up of a product, (where the customer claims the product has been returned, while our system suggests otherwise) refund will be initiated only if the customer successfully furnishes the docket slip given at the time of the pick up.

TERMINATION

  1. BESIGN UNIQUE Platform may suspend or terminate your use of the BESIGN UNIQUE Platform or any service if it believes, in its sole and absolute discretion that you have breached any of the Terms.
  2. If you or BESIGN UNIQUE Platform terminates your use of the BESIGN UNIQUE Platform/any service, BESIGN UNIQUE Platform may delete any content or other materials relating to your use of the service and BESIGN UNIQUE Platform will have no liability to you or any third party for doing so.
  3. You shall be liable to pay for any service or product that you have already ordered till the time of termination by either party whatsoever. Further, you shall be entitled to your royalty payments as per the User License Agreement that has or is legally deemed accrued to you.

Cancellation of Orders

BESIGN UNIQUE Platform provides protected shopping experience by regularly monitoring the transactions. In the event of detecting any suspicious activity, BESIGN UNIQUE Platform reserves right to cancel all past/pending/future orders without any liability. BESIGN UNIQUE Platform also reserves right to refuse/cancel orders in situations like inaccurate product price on BESIGN UNIQUE Platform/stock unavailability. We may also require additional verification/information before accepting any order. We will contact you if all/any portion of your order is cancelled or if additional information is required to accept your order. If your order is cancelled after your card has been charged, the said amount will be reversed to your Card Account. Any promotional voucher used for the cancelled orders may not be refunded. The discretions of SUREN SPACE will be final and binding on the user.

The order may be considered cancelled in following cases:

  1. Invalid/Incomplete address cases
  2. Customer fails to produce adequate documents during the payment details verification
  3. Misuse of another customer's phone/email
  4. Customer uses invalid email and phone no.
  5. Overuse of a voucher code
  6. Use of a special voucher not tagged to the email ID used.
  7. Customer returns the wrong product
  8. Customer refuses to pay for an order
  9. Customer is involved in the snatch and run for any order
  10. Customer with a high product return rate
  11. Repeated request for monetary compensation for petty issues

Account for such customers may be blocked by BESIGN UNIQUE Platform

VIOLATION OF TERMS OF USE

  1. BESIGN UNIQUE Platform may in its sole discretion and without prior notice terminate your access to the BESIGN UNIQUE Platform if BESIGN UNIQUE Platform determines that you have violated the terms/additional terms/any other duty owed to BESIGN UNIQUE Platform. Any violation by you of the terms will constitute an unlawful and unfair business practice and will cause irreparable harm to BESIGN UNIQUE Platform, for which monetary damages is likely to be inadequate and you consent to BESIGN UNIQUE Platform adder obtaining any injunctive or equitable relief that BESIGN UNIQUE Platform deems necessary/appropriate. These remedies are in addition to any other remedies BESIGN UNIQUE Platform may have at law or in equity.
  2. You agree to indemnify/defend/hold harmless BESIGN UNIQUE Platform/it’s associated business partners/shareholders/directors and employees from/against any/all losses/ liabilities/claims/damages/demands/costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by BESIGN UNIQUE Platform that arise out of/result from/may be payable by virtue of any breach of any representation/warranty/covenant/ agreement made/obligation to be performed by you pursuant to these supply terms or any additional terms applicable to product purchase.
  3. You agree to hold BESIGN UNIQUE Platform harmless against any claims made by any third party due to or arising out of or in connection with your use of the BESIGN UNIQUE Platform, any claim that your material caused damage to a third party/your violation of the terms/ your violation of the rights of any another person. BESIGN UNIQUE Platform will also be entitled to recover from you and you agree to pay all reasonable attorneys' fees and costs of such action, in addition to any other relief granted to BESIGN UNIQUE Platform.

Termination of terms and conditions

The terms will continue to apply until terminated by either you/BESIGN UNIQUE Platform as mentioned following:

  1. If you want to terminate your agreement with BESIGN UNIQUE Platform, you may do so by either not accessing the BESIGN UNIQUE Platform or closing your accounts (if any).
  2. BESIGN UNIQUE Platform may at its discretion and at any time with or without notice terminate or suspend the terms without cause or with cause if:
  1. You breach any of the provisions of the Term/Privacy Policyor any other terms & conditions/policies that may be applicable to you.
  2. BESIGN UNIQUE Platform is required to do so by law. For example: where the provision of the Services to You is, or becomes unlawful or pursuant to a request by a regulatory authority.
  3. The provision of the services to you by BESIGN UNIQUE Platform is, in SURENSPACE's opinion no longer commercially viable.
  4. BESIGN UNIQUE Platform has chosen to discontinue, with or without reason, your access to the BESIGN UNIQUE Platform/services (or any part thereof) either in general or specifically to you.

For technical or any other reason termination or suspension may include:

  1. removal of access to all or portion of the offerings on the BESIGN UNIQUE Platform or with respect to the services/any portion thereof;
  2. deletion of your materials and/or account information including your personal information, log-in ID and password, and all related information, files and materials associated with you or inside your account or any part thereof; and
  3. barring of further use of the BESIGN UNIQUE Platform/services. BESIGN UNIQUE Platform may also delete any content or other materials relating to your use of the BESIGN UNIQUE Platform.

BESIGN UNIQUE Platform shall not be liable to you or any third party for any such termination.

Termination/suspension shall not affect your liability/obligation arising prior to such termination/suspension.

 

USER WARRANTIES AND RESTRICTIONS

  1. You represent and warrant that: (a) your use of BESIGN UNIQUE Platform and/or Services will not violate any applicable law or regulation; (b) all information that is submitted to us in connection with BESIGN UNIQUE Platform and/or Services is true, accurate and lawful; (c) use of the content and material you supply does not breach any applicable Agreement and will not cause injury to any person or entity (including that the content or material is not defamatory). If at any time, the information provided by you is found to be false or inaccurate, we will have the right to reject registration, cancel all orders, and restrict you from using the Services and other affiliated services in the future without any prior intimation whatsoever. You agree to indemnify us and our affiliates for all claims brought by a third party against it or its affiliates arising out of or in connection with a breach of any of these warranties.
  2. You will use BESIGN UNIQUE Platform for lawful purposes only and will not undertake any activity that is harmful to BESIGN UNIQUE Platform or its content or otherwise not envisaged through the BESIGN UNIQUE Platform. You have a limited license to access and use BESIGN UNIQUE Platform, solely for the purpose of availing the Services, subject to these Terms of Use.
  3. You will not do any of the following:
  4. a) Delete or modify any content on BESIGN UNIQUE Platform, such as any information regarding the Services, their performance, sales or pricing;
  5. b) Use any engine, software, tool, agent or other mechanism (such as spiders, robots, avatars, worms, time bombs etc.) to navigate or search BESIGN UNIQUE Platform;
  6. c)           Make false or malicious statements against the Services;
  7. d) Post, copy, submit, upload, distribute, or otherwise transmit or make available any software or other computer files that contain a virus or other harmful component, or otherwise disrupt or damage BESIGN UNIQUE Platform and/or Services or any connected network, or otherwise interfere with any person or entity’s use or enjoyment of BESIGN UNIQUE Platform and/or the Services;
  8. e) Introduce any trojans, viruses, any other malicious software, any bots or scrape BESIGN UNIQUE Platform for any information;
  9. f) Probe, scan, or test the vulnerability of any system, security or authentication measures implemented by us or otherwise tamper or attempt to tamper with our technological design and architecture;
  10. g) Hack into or introduce malicious software of any kind onto BESIGN UNIQUE Platform;
  11. i) Gain unauthorized access to, or interfere with, or damage, or disrupt the server on which the details connected to the Services are stored, or any other server, computer, or database connected to the Services; or
  12. j) Engage in any form of antisocial, disruptive, or destructive acts, including “flaming,” “spamming,” “flooding,” “trolling,”, “phishing” and “griefing” as those terms are commonly understood and used on the internet.
  13. You are prohibited from hosting, displaying, uploading, modifying, publishing, transmitting, updating or sharing on or through BESIGN UNIQUE Platform, any information that:
  14. a) belongs to another person and to which you do not have any right;
  15. b) is harmful, harassing, blasphemous, defamatory, obscene, pornographic, paedophilic, invasive of another’s privacy, hateful, relating to or encouraging money laundering or gambling, or otherwise harmful in any manner whatsoever;
  16. c)           harms minors in any way;
  17. d)           infringes any patent, trademark, copyright or other proprietary rights;
  18. e)           violates any law for the time being in force;
  19. f) deceives or misleads the addressee about the origin of such messages or communicates any information which is grossly offensive or menacing in nature;
  20. g)           impersonates or defames another person; or
  21. h) contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer resource.

BESIGN UNIQUE Platform shall be entitled to, consistent with our privacy policy, use the content or any of its elements for any type of use forever, including but not limited to promotional and advertising purposes and in any media whether now known or hereafter devised, including the creation of derivative works that may include content you provide. You agree that any content you post may be used by BESIGN UNIQUE Platform, consistent with our privacy policy and rules of conduct on site as mentioned herein, and you are not entitled to any payment or other compensation for such use.

BREACH

Without limiting other resolutions, BESIGN UNIQUE Platform may limit your activity, immediately remove your information, warn other users of your actions, immediately temporarily/indefinitely suspend or terminate or block your membership, and/or refuse to provide you with access to the BESIGN UNIQUE Platform BESIGN UNIQUE Platform in the event, but not limited to:

  1. If you breach the terms of use or privacy policy or other rules and policies, if any;
  2. If BESIGN UNIQUE Platform is unable to verify or authenticate any information you provide; or
  3. If it is believed that your actions may cause legal liability for you, other users or BESIGN UNIQUE Platform. BESIGN UNIQUE Platform may at any time at its sole discretion reinstate suspended users. A user that has been suspended or blocked may not register or attempt to register with BESIGN UNIQUE Platform or use BESIGN UNIQUE Platform BESIGN UNIQUE Platform in any manner whatsoever until such time that such user is reinstated by BESIGN UNIQUE Platform.
  4. Notwithstanding the foregoing, if you breach the terms of use or privacy policy or other ruler and policies, BESIGN UNIQUE Platform reserves the right to recover any amounts due and owing by you to BESIGN UNIQUE Platform and to take strict legal action including but not limited to a referral to the appropriate police or other authorities for initiating criminal or other proceedings against you.

BESIGN UNIQUE Platform tries to be as accurate as possible. However BESIGN UNIQUE Platform does not warrant that product description or other content or such other information of this site is 100% accurate, complete, reliable, current, or error-free. Product dimensions are for indicative purposes only and are subject to a tolerance of +/- 3cm. For handcrafted Furniture items, marginal variances in color, texture, wood grains and knots are all part of the charm of the product and thus deemed acceptable. The actual fabric/upholstery may have a slight variance from the product image depending on your screen settings, resolution and photography or fabric print.

These Terms of Use are governed by and to be interpreted in accordance with laws of India, without regard to the choice or conflicts of law provisions of any jurisdiction. You agree, in the event of any dispute arising in relation to these Terms of Use or any dispute arising in relation to the BESIGN UNIQUE Platform whether in contract or tort or otherwise, to submit to the jurisdiction of the courts located at Jodhpur, Rajasthan, India for the resolution of all such disputes.

FORCE MAJEURE

We will not be held responsible for any delay or failure to comply with its obligations if the delay or failure arises from any cause which is beyond our reasonable control.

WAIVER

No provision in these Terms of Use will be deemed waived and no breach excused, unless such waiver or consent is in writing and signed by us. Any consent by us to, or waiver of your breach, whether expressed or implied, will not constitute consent to, waiver of, or excuse for any other different or subsequent breach.

SEVERABILITY

MISCELLANEOUS

  1. In addition to these Terms of Use, you will also ensure that you are in compliance with the terms and conditions of the third parties, such as bank offers terms and conditions, brand promotional offers, whose links, if any, are contained/embedded in the Services. You agree that we will not be liable for any transaction between itself and any such third parties.
  2. These Terms of Use supersede all previous oral and written terms and conditions (if any) communicated to you by us, for the use of BESIGN UNIQUE Platform, and the rights and liabilities with respect to any Services to be provided by us shall be limited to the scope of these Terms of Use.

 

 

PART- II TERMS AND CONDITIONS OF SALE ON BESIGN UNIQUE PLATFORM

The terms and conditions of sale as set out herein (“Terms of Sale”) constitute an agreement between us and you and govern the terms and conditions on which you purchase your Products from us on or through the platform. By placing an order for any Product with us or making a purchase of Product, you expressly agree to be bound by these Terms of Sale.

These Terms of Sale are in addition to the Agreement. These Terms of Sale constitute an electronic record within the meaning of the applicable law. This electronic record is generated by a computer system and does not require any physical or digital signatures.

  1. CONTRACT OF SALE

 

1.1.          Listing and display of a Product by us on BESIGN UNIQUE Platform is our invitation to you to make an offer for purchase of such Product. Likewise, the placement of an order on BESIGN UNIQUE Platform by you is your offer to buy the Product(s) from us.

1.2.          Once you have placed an order with us for purchase of a Product, you will receive an e-mail and/or mobile confirming receipt of your order and containing the details of your order (the “Order Confirmation”). The Order Confirmation is merely an acknowledgement that we have received your order and does not signify our acceptance of your offer.

1.3.          We only accept your offer and conclude the contract of sale for a Product ordered by you, when the Product is shipped or dispatched to you and an e-mail and/or registered mobile number confirmation is sent to you that the Product has been shipped or dispatched to you (the “Shipment Confirmation”). We reserve the right, at our sole discretion, to refuse or cancel any order for any reason whatsoever before sending Shipment Confirmation to you.

1.4.          If your order is dispatched in more than one package, you may receive separate Shipment Confirmations for each package, and each Shipment Confirmation and corresponding dispatch will conclude a separate contract of sale between you and us for the Product(s) specified in that Shipment Confirmation.

1.5.          Any communication from us shall be sent only to your registered mobile number and/or email address or such other contact number or email address that you may designate, for any particular transaction. You shall be solely responsible to update your registered mobile number and/or email address on the BESIGN UNIQUE Platform in the event there is a change. Further, we may also send you notifications and reminders with respect to scheduled deliveries of the purchased Products. While we shall make every endeavor to share prompt reminders and notifications relating to the delivery of purchased Product(s) with you, we shall not be held liable for any failure to send such notifications or reminders to you.

1.6.          Your contract is with us and you confirm that the Product(s) ordered by you are purchased for your personal purpose and not for re-sale or business purpose. Please note that we sell Products only in quantities which correspond to the usual requirements of an average household. This applies both to the number of Products ordered within a single order and the placing of several orders for the same Product where the individual orders comprise a quantity typical for a normal household.
